Constitution of the Australian Guangdong Chamber of Commerce


Chapter I: General Provisions

Name:

  • In Chinese: 澳大利亚粤商会

  • In English: Australian Guangdong Chamber of Commerce

Legal Nature:
The Chamber is a non-profit, non-governmental association primarily composed of individuals of Guangdong origin residing in Australia.

Mission Statement:
To serve its members, safeguard their legitimate rights and interests, promote economic cooperation and cultural exchange between China and Australia, and function as a bridge and facilitator between both countries.

Registered Location:
Sydney, New South Wales, Australia.


Chapter II: Functions and Responsibilities

  1. To promote communication and cooperation among Chinese communities across Australia by organizing events such as lectures, seminars, and publishing activities, and by providing business consultancy services to members. Branches of the Chamber may carry out these functions in their respective localities.

  2. To enhance communication with the Australian government and business sectors, representing the interests and concerns of member enterprises, advocating on their behalf in matters of economic and commercial policy, and organizing events that foster dialogue and understanding between Chinese-funded enterprises and Australian stakeholders.

  3. To establish and maintain relations with Chinese government bodies, chambers of commerce, and enterprises, providing information about Australia’s investment environment and legal framework to support the integration and development of Chinese businesses in Australia, and to foster cooperation among members.

  4. To engage in international exchanges and cooperation with relevant organizations and institutions worldwide.

  5. To undertake assignments entrusted by governmental bodies or by its members.


Chapter III: Membership

Eligibility and Obligations:

  • Chinese nationals residing in Australia on a long-term basis who comply with local laws and regulations;

  • Individuals who acknowledge and agree to abide by the Constitution of the Chamber and actively support its work;

  • Members shall provide relevant personal or corporate information and uphold the interests and reputation of the Chamber.

Admission Procedure:

Applicants shall complete a membership application form and submit certified copies of relevant legal documents. Membership is granted upon successful review and issuance of a membership certificate.

Rights of Members:

  • The rights to vote, stand for election, and participate in resolutions;

  • The right to access services provided by the Chamber, participate in events, and make proposals or offer suggestions;

  • The right to withdraw from the Chamber voluntarily.

Withdrawal Procedure:
Members wishing to resign must notify the Secretariat in writing and return their membership certificate. In cases of serious violations of the Constitution, membership may be terminated, and the certificate shall be revoked.


Chapter IV: Governance Structure and Leadership Appointment & Removal

Supreme Governing Body:
The General Assembly of Members, which holds the authority to amend the Constitution, elect or remove the President, and review operational and financial reports.

General Assembly:
Held annually. In exceptional circumstances, it may be convened earlier or postponed subject to approval by the Executive Council.

President and Executive President:
Each term lasts three (3) years and may be renewed once consecutively.

Other Leadership Roles:
May include Executive Vice Presidents, Vice Presidents, Deputy Secretaries-General, etc. The Secretary-General shall be responsible for the day-to-day operations of the Chamber.


Chapter V: Financial Management and Use of Funds

Sources of Funds:

  • Annual membership fees;

  • Voluntary donations from members or supporters.

Membership Fee:
AUD 100 per annum. Members are encouraged to make additional voluntary contributions.

Use of Funds:
Funds shall be used for Chamber activities, member events, and operational expenses.

Termination and Liquidation:
Upon resolution by the General Assembly and with approval from relevant government authorities, a liquidation committee shall be established to settle outstanding assets and liabilities and complete all post-dissolution formalities.


Chapter VI: Amendment of the Constitution

Amendment Procedure:
Amendments must be reviewed and approved at a General Assembly, with a two-thirds (2/3) majority of attending members required for adoption.

Interpretation Rights:
The Executive Council of the Chamber shall have the exclusive authority to interpret this Constitution.


Chapter VII: Legal Jurisdiction

Applicable Law:
All legal disputes involving the Chamber shall be governed by and interpreted in accordance with the laws and regulations of Australia.
